Gilad Bengio is an associate in the Corporate practice group at Greenspoon Marder LLP. With a robust background in corporate law, most recently at a boutique corporate law firm, Mr. Bengio brings a wealth of experience, particularly in advising senior management on strategic corporate initiatives. His work involves providing guidance on complex corporate strategies, including cross-border tax optimization and entity restructuring, ensuring both regulatory compliance and financial success. Mr. Bengio is adept at drafting, negotiating, and reviewing various merger and acquisition agreements, with a keen focus on the precise legal implications of covenants, representations, warranties, and foreign tax treaties. He also offers valuable advice on financing transactions, including debt and equity issuances, credit securitization, and various mortgages.
Prior to joining Greenspoon Marder LLP, Mr. Bengio also served as a Transaction Tax Manager at Ernst & Young, LLP in New York. In this role, he counseled clients on a range of complex tax issues, drafting detailed legal opinions on various frameworks such as reverse Morris trusts and de facto liquidations. His responsibilities included performing tax due diligence to identify and quantify material tax risks, recommending mitigation strategies, and reviewing and negotiating transaction legal agreements. Mr. Bengio’s corporate legal advice extended to the delineation of general legal and specific tax risks and benefits associated with various transactions, showcasing his comprehensive understanding of the intersection between corporate law and taxation.
